Version 1.1 - October 2026

These Terms & Conditions ("Terms") govern your membership of and use of Private Card.

Private Card is operated by Private Card Limited, company number 17181445, whose registered office is at 5 Brayford Square, London, England, E1 0SG ("Private Card", "we", "us" or "our").

General enquiries: contact@private-card.com
Privacy & data protection: privacy.data@private-card.com

By creating your Private Card membership and accepting these Terms, you agree to be bound by them. Our Privacy Policy explains how we collect and use personal information and should be read alongside these Terms.

1. Private Card

Private Card is a private membership and restaurant reservation service. Depending on the services available to you, Private Card may enable you to request and manage restaurant reservations; communicate with the Private Card team; maintain a member profile; use a physical or digital membership card; add a membership pass to a supported digital wallet; earn and redeem Hearts; send and receive Favours; access member benefits; receive reservation and membership notifications; view information relating to your Private Card activity; and use other membership services introduced from time to time.

Private Card is an evolving service and its functionality may change.

2. Membership

Your Private Card membership is personal to you. You must provide accurate information and keep important information reasonably up to date.

You must not impersonate another person, fraudulently obtain benefits, sell or commercially transfer your membership, provide another person with your membership credentials for the purpose of impersonating you, or attempt to access another member's account or information.

We may take reasonable steps to protect your membership, other members, participating restaurants and Private Card where we identify suspected fraud, misuse or security concerns.

3. Your Member Profile

Private Card may maintain a member profile containing information necessary to provide and administer your membership. Depending on your use of Private Card, this may include your name, email address, telephone number, postal address, profile photograph, membership information, restaurant and seating preferences, dietary preferences, allergy information you choose to provide, specific reservation requests you choose to provide, reservation history, restaurant visits, restaurant spend associated with your membership, Hearts, Favours, communications with Private Card and membership-card information.

Our Privacy Policy explains how this information is used and protected.

4. Reservation Requests

Private Card enables you to ask us to help arrange restaurant reservations. A reservation request may include the restaurant, date, time, number of guests, preferred seating, dietary information, allergy information, specific reservation requests and other information you choose to provide.

Submitting a reservation request does not guarantee that the restaurant can accommodate it. A reservation is confirmed only when Private Card or the relevant restaurant confirms it. Where your requested reservation cannot be accommodated, Private Card may communicate with you about available alternatives.

5. Participating Restaurants

Participating restaurants control their own availability, opening hours, tables, seating, menus, prices, food preparation and restaurant operations. Private Card cannot guarantee the availability of a particular restaurant, table, seating position, menu item, date or time. Participating restaurants remain responsible for the restaurant services they provide.

6. Communicating With Private Card

You may communicate with Private Card through the app and other supported communication channels. Communications may be handled by authorised Private Card personnel, personnel supporting Private Card and relevant authorised restaurant personnel where necessary to manage your reservation or request.

Private Card uses automated and AI-assisted technology to help receive, organise, understand and respond to requests and communications. Some replies are generated by AI and sent to you directly without a person reviewing them first. Replies are not individually marked as AI-generated, so any reply may have been prepared with AI assistance. You can ask to speak to a member of the Private Card team at any time.

When you accept these Terms, you agree that the messages you send us and your booking details will be processed by our AI provider, Microsoft (Azure OpenAI Service), to help prepare replies to you. Before anything is sent, we remove your name, contact details and account details, so Microsoft is not told who a message is from. Messages may still include any dietary or allergy information you choose to mention. This information is not used to train AI models. Our Privacy Policy explains this in more detail. If you would prefer not to use AI-assisted replies, you can contact us by email instead of using the in-app chat.

AI-generated replies can occasionally be inaccurate or incomplete. A reservation is confirmed only as described in clause 4, and nothing in an AI-generated reply changes these Terms or your rights.

Reporting a reply

If you think a reply is inaccurate, inappropriate, offensive or raises an allergy or dietary concern, please report it in the app by pressing and holding the message and choosing Report this reply. We review every report and will contact you where needed. Our Privacy Policy explains how personal information within communications and reports is processed.

7. Allergies and Specific Reservation Requests

You may choose to provide Private Card with allergy information and specific reservation requests to help us manage your reservations. Some allergy information may reveal information about your health and receive additional protection under data-protection law.

Where Private Card relies on explicit consent to process this information, that consent is obtained separately from your acceptance of these Terms. Private Card will use allergy information and specific reservation requests you choose to provide for the purpose explained when consent is obtained and in our Privacy Policy.

Relevant information may need to be communicated to the restaurant involved in your reservation and processed through service providers that support Private Card. Our Privacy Policy explains this in more detail. Private Card does not use allergy information for unrelated advertising.

Private Card is not a medical service and does not independently verify ingredients, preparation procedures, cross-contamination controls or whether a restaurant can safely accommodate a particular allergy. An AI-generated reply is never confirmation that a restaurant can safely accommodate an allergy. If you have a serious allergy, you should also discuss it directly with the restaurant and make your own decision about whether the restaurant can safely accommodate you.

8. Restaurant Visits and Spend

Private Card may receive information relating to your activity at participating restaurants where this is necessary to operate your membership and benefits. Depending on the systems involved, this may include the restaurant visited, date and time, visit information, total spend, membership benefits applied, Hearts earned and Hearts redeemed. Private Card does not necessarily receive itemised information about everything purchased during a visit.

9. Hearts

Private Card may reward eligible member activity using Hearts. The current earning and redemption rules will be displayed through Private Card or otherwise communicated to members.

Unless expressly stated otherwise, Hearts have no cash value, cannot be exchanged for cash, are personal to the relevant member, cannot be sold or commercially traded, and may only be redeemed in accordance with applicable Private Card rules.

Private Card may correct a Hearts balance where Hearts were incorrectly credited or redeemed because of an error, refund, cancellation, duplicate transaction, fraud or misuse. We may modify the Hearts programme from time to time. Where a change materially affects existing benefits, we will provide appropriate notice.

10. Favours

Private Card may allow you to share selected benefits or experiences with another member, friend or guest through Favours. When sending a Favour, you may provide information about its intended recipient. You should only provide information reasonably necessary to send and administer the Favour.

A Favour may be subject to conditions, an expiry date, restaurant restrictions or other rules displayed when it is issued. Unless expressly stated otherwise, Favours have no cash value and cannot be sold or commercially traded. Private Card may maintain records of Favours sent, received and redeemed. Our Privacy Policy explains how information about Favour recipients is handled.

11. Membership Cards and Digital Wallets

Private Card may issue you with a physical membership card and/or digital membership pass. A digital membership pass may be capable of being added to Apple Wallet, Google Wallet or another supported digital wallet, depending on your device.

Your card or pass may contain a QR code, membership identifier or other credential used to recognise your membership and provide membership benefits. Your membership credential is personal to you. If your physical card or device is lost, stolen or compromised, please notify Private Card promptly so relevant credentials can be revoked or replaced. Third-party digital-wallet services are also subject to the relevant provider's terms and conditions.

12. Notifications and Communications

Private Card may send service communications relating to reservation requests, reservation confirmations, reminders, changes, member messages, membership information, security, Hearts or Favours, and other information necessary to operate your membership.

Push notifications can normally be controlled through your device settings. Where separate consent or another legal basis is required for marketing communications, Private Card will handle these separately from essential service communications.

13. Profile Photographs and Member Content

You may be able to upload a profile photograph and other permitted content. You must have the right to provide content you upload. You give Private Card permission to store and technically process that content only to the extent reasonably necessary to operate Private Card and provide the relevant feature. Ownership of your original content remains with you.

14. Security

You should take reasonable care of your account, device, physical membership card and digital membership credentials. Please contact Private Card promptly if you believe your account or membership credentials have been compromised or your device or membership card has been lost or stolen. Private Card may revoke sessions, cards or credentials where reasonably necessary to protect members and the service.

15. Acceptable Use

You must not attempt unauthorised access to Private Card systems; access another member's information without permission; interfere with Private Card's operation or security; introduce malicious software; fraudulently earn or redeem Hearts or Favours; impersonate another person; abuse Private Card or restaurant personnel; deliberately try to make AI-assisted features produce harmful or inappropriate content; systematically scrape Private Card information; or use Private Card unlawfully.

16. Third-Party Services

Private Card relies on third-party technology and services to provide parts of the service. These may include restaurant systems, loyalty and point-of-sale systems, communications providers, cloud infrastructure, AI technology providers, digital-wallet providers, mapping services, security services and technology supporting reservations and member communications. Where those services process personal information on our behalf or otherwise receive personal information, this is addressed in our Privacy Policy and our arrangements with the relevant provider.

17. Changes to Private Card

Private Card is an evolving membership service. We may update, improve, replace, add to or remove features from time to time. This may include changes to app design and functionality, participating restaurants, reservations, communications, membership cards and digital passes, Hearts, Favours, loyalty functionality and member benefits.

Routine app releases, technical updates, security updates, bug fixes, performance improvements and ordinary changes or additions to functionality do not require you to accept these Terms again.

18. Changes to These Terms

We may update these Terms where reasonably necessary to reflect changes to Private Card, membership services or benefits, applicable law or regulation, security requirements, participating services, our business operations, or to make the Terms clearer.

The current version will be available through Private Card. Where we make a material change that significantly affects your rights or obligations, we will bring that change to your attention in an appropriate way. Where applicable law requires your agreement to a particular change, we will ask you to provide it.

You will not be required to accept new Terms merely because a new version of the Private Card app is released.

19. Account Closure, Deletion and Suspension

You may stop using Private Card and delete your account at any time, either in the app (Settings > Delete account) or by requesting deletion at https://private-card.com/delete-account. When your account is deleted, your membership card and any wallet passes stop working and any unused Hearts and Favours are cancelled. What happens to your personal information is explained in section 18 of the Privacy Policy.

Private Card may suspend or terminate access where reasonably necessary because of fraud, serious or repeated misuse, security concerns, abuse, material breach of these Terms or circumstances where continuing to provide the service would be unlawful.

20. Our Responsibility

Nothing in these Terms excludes or limits liability where doing so would be unlawful, and nothing affects your statutory consumer rights.

Private Card facilitates membership and restaurant reservation services. Participating restaurants remain responsible for the restaurant services they provide, including their food, food preparation, premises and their own legal obligations.

Private Card does not guarantee that every reservation request will be fulfilled, that the app or a third-party service will always operate without interruption, or that a restaurant will be able to safely accommodate a particular allergy or dietary requirement.

21. Events Outside Our Reasonable Control

Subject to rights that cannot legally be excluded, Private Card will not be responsible for delays or failures caused by events outside our reasonable control. This may include major infrastructure or telecommunications failures, significant third-party service outages, natural events, government action or disruption affecting participating restaurants.

22. Intellectual Property

Private Card's software, name, branding, application, designs and other intellectual property remain the property of Private Card or its licensors. Membership does not transfer ownership of that intellectual property to you. You may use Private Card for your personal use in accordance with these Terms.

23. Privacy and Data Protection

Our Privacy Policy explains how Private Card processes personal information, including member profiles, contact details, profile photographs, reservations, restaurant visits, spend, Hearts, Favours, communications, AI-assisted replies and reports, allergy information, specific reservation requests, membership cards, digital-wallet passes, notifications and security information. It also explains your data-protection rights and how to contact us about them.

24. General

If any part of these Terms is found to be unenforceable, the remaining provisions continue to apply. A delay in enforcing a provision does not waive our right to enforce it later.

You may not transfer your membership rights to another person without our agreement. Private Card may transfer its rights and obligations as part of a legitimate business transfer or reorganisation, provided this does not reduce rights that cannot legally be reduced.

25. Governing Law

These Terms are governed by the laws of England and Wales. If you are a consumer resident elsewhere in the United Kingdom, you may also benefit from mandatory protections and jurisdiction rights applicable where you live.
